The Dogecoin Foundation and House of Doge have ended their exclusive trademark licensing arrangement. House of Doge and its U.S. subsidiary must change their names, and the subsidiary must pay the foundation $400,000, but they keep limited rights to three existing 21Shares products.
The Dogecoin Foundation and House of Doge have mutually ended their exclusive trademark licensing arrangement. The Nasdaq-listed company and its U.S. subsidiary must change their names before Dec. 31, 2026, and the subsidiary must pay the foundation $400,000.
The termination took effect Oct. 19, according to agreements in House of Doge's Oct. 23 SEC filing. The filing says the move ends the rights granted under the old licence, including exclusivity, sublicensing and partnership designations. The companies must also stop describing themselves as the foundation's official commercial partner, and must drop the label "Official Corporate Arm", according to the filing.
Termination payment can be settled in cash or shares
The $400,000 is a negotiated termination payment, payable when sufficient funds are available. The subsidiary can settle it in cash, parent-company shares or both.
Receipt of the full payment would settle royalty and other payment obligations under the old licence, while accrued payment claims remain outstanding until then. House of Doge said it had not determined when sufficient funds would be available.
Limited brand rights remain
A replacement, non-exclusive licence preserves use of the Dogecoin and DOGE names and logos for three existing 21Shares products: the Dogecoin ETF, Dogecoin ETP and 2x Long Dogecoin ETF. Additional regulated or tokenized investment products require written foundation approval.
The licence grants no official-partner status. It also does not authorize use of the marks for payment products, general merchandise or the company's corporate name. Its initial term runs through Oct. 19, 2029, and failure to make the termination payment can put it at risk after notice and a ten-business-day opportunity to cure.
Dogecoin Labs asset transfer is still pending
The change accompanies the formation of Dogecoin Labs, which House of Doge identified as the foundation's new official commercial partner. Labs' Oct. 21 launch announcement said the organization, led by CEO Jordan Jefferson, would bring together the MyDoge wallet, DogeOS application infrastructure and Such App.
Under an asset-transfer contract, Such App software, source code, domains and related infrastructure would move to Labs in exchange for common stock with an agreed value of $4 million, based on a $120 million fully diluted pre-money valuation. That transaction had not closed as of the Oct. 23 filing, and closing requires secured-lender consents and lien releases, transfer of key assets and the absence of an insolvency event.
