Anthropic PBC is working with RetailBook to sell shares to UK retail investors as part of its initial public offering, Bloomberg reported on Wednesday.
An IPO that could be the world's largest
The AI lab filed for a New York IPO on Monday that could be the world's largest ever. In that filing, Anthropic said it would make its shares available to individual investors in the UK and parts of continental Europe.
Anthropic's main listing is planned for NASDAQ under the ticker ANT.
How the UK sale would work
Anthropic will follow SpaceX in bypassing the need for a UK prospectus by using the country's "public offer platform", the report added. RetailBook, which is licensed as a POP operator, will reportedly coordinate the stock sale, with other investment platforms feeding it orders.
However, no final decisions have been made and the plans could still change.
Precedents from SpaceX and Jersey Mike's
The framework has precedents. In June, SpaceX sold $364 million worth of stock in its listing to UK retail investors through POP, a regulatory framework originally introduced to facilitate access to capital for smaller domestic companies.
That move paved the way for other companies going public abroad to access UK capital. Sandwich chain Jersey Mike's Subs Inc. conducted a similar offering in September.
