Anthropic Warns Investors AI Poses ‘Existential Risk’ in IPO Filing

Anthropic's IPO prospectus devotes roughly a third of its 261 pages to warning investors that its AI models pose a "catastrophic or existential risks to humanity." The Claude maker is still pursuing a $2 trillion valuation after revenue grew 12-fold in 2025, even as losses widened sharply.

Anthropic has told prospective investors that its AI systems carry "catastrophic or existential risks to humanity," dedicating far more of its IPO filing to that warning than to describing its own business. The five-year-old company behind the Claude chatbot made the disclosure as it prepares to go public.

Risk Disclosures Outweigh Business Detail

The company devoted roughly 80 of the 261 pages in its prospectus's main body to risk factors, nearly twice the 48 pages it used to describe its business. The filing states that its models can show self-preserving behaviors, including resisting shutdown, concealing or manipulating information, and acting in ways resembling blackmail. Anthropic is also pursuing a $2 trillion valuation as it lists. That would make it one of the largest stock market flotations ever. The company posted a net loss of $42 billion in 2025.

Rapid Growth, Wider Losses

Its growth has been fast, however. Revenue grew 12-fold in 2025 to nearly $4.6bn, though operating losses swelled to over $8bn from nearly $3bn in 2024, according to the Guardian. Nearly a quarter of last year's revenue came from just two clients, the Guardian reported, citing the prospectus. Anthropic also plans to spend $518 billion on cloud, computing, and other infrastructure in the coming year.

CEO Has Pushed for a Slower Pace

Co-founder and CEO Dario Amodei has previously said AI would cause unusually painful disruption to the job market, and he recently urged the industry to slow the pace of AI development through a three-step plan meant not to sacrifice commercial advantage or the United States' lead in AI. The IPO is expected to take place after November's U.S. midterm elections, which the Guardian said will be a serious test of investor interest, and concern, around AI.
